Terms and Conditions

 

Service Description: Empire Distribution USA (Empire Wholesale & Distribution Inc.) is a wholesaler and distributor of toys, cosmetics, skincare, home & household items, groceries, and more. We carry a wide array of brands and categories. Empire Distribution does not claim to be authorized distributors of any of the brands or merchandise that we carry or offer unless specifically stated. 

The vast majority of merchandise we offer to clients is in stock and in our warehouse, however, we do sometimes offer products that we do not own or that are inbound to our warehouse. Unless otherwise stated, Empire Distribution does not claim to have merchandise in stock. A reasonable period of time will be given to Empire Distribution to process and ship all orders. That does not include lead time as they may be given to you either through email, Telegram, or orally. Empire Distribution reserves the right to refuse or cancel any order placed by the customer for any reason. 

 

Shipping & Deliveries: Buyer assumes responsibility for all shipping or freight charges unless otherwise was agreed on in writing when placing the order. We cannot take responsibility for delays that are beyond our control, including but not limited to, weather or transit delays. Buyer is responsible for requesting or adding insurance to their own freight even if Empire Distribution schedules the shipment. Empire Distribution takes no responsibility for merchandise damaged during transit. Any issues with packages/pallets being lost or damaged must be dealt directly with the carriers or insurance providers. 

 

Return Policy: No Returns Accepted. All sales are final. Once the order is confirmed it cannot be canceled, modified or changed. In the event that there was misinformation during the transaction, it must be reported to Empire Distribution within 3 business days of receiving the merchandise. 

 

Storage: All orders must be picked up within 7 days of being notified that they are ready to ship. It is the buyer’s responsibility to ensure that they are removed from the premises. After 14 days, the buyer will be subject to paying a storage fee of $150.00 per pallet position per month. After 3 months, long term storage fee will occur ($250/month per pallet position). 

 

Processing: If a part of your transaction with Empire Distribution involves us bundling merchandise or prepping your order for Amazon FBA, charges of $0.30 per FNSKU labeling, $0.50 per bundling/poly bagging. Not all orders may qualify for labeling or bundling services. The buyer has to inquire and purchase those services when placing the order. 

 

Purchase orders, emails, verbal or Telegram messages are legally binding agreements to purchase the merchandise! NO CANCELLATIONS WILL BE ALLOWED! By signing this agreement the buyer agrees that if they submit an order they are submitting a legal document guaranteeing that they are purchasing the goods and that they will submit payment within 2 business days unless there is a lead time and it is mentioned on their invoice. Failure to remit payment may result in Empire Distribution acquiring counsel with an attorney to pursue the funds, which you are obligated to pay. The buyer pays for all litigation fees.

 

Disputes: In the event of a dispute between Empire Distribution and the buyer, any and all litigation or mediation will take place in the state of California. The buyer agrees to pay all fees involved. 

 

Please note, we cannot take responsibility for any item that is restricted to sell on Amazon, restricted to send to FBA, or restricted on any other marketplaces. It is the buyer's responsibility to make sure before buying that he/she is eligible to sell these products. We do not claim to be authorized resellers or distributors of any of the brands we are offering unless otherwise stated. The items may or may not be purchased from manufacturers, distributors, wholesalers, closeouts, or liquidation companies. We do not claim any Intellectual Properties. All copyrights and Intellectual Properties belong to their respective owners. We also cannot take responsibility for any item that is or becomes restricted after the sale. This includes but is not limited to brands, categories, subcategories, PPE, hazmat, IP Complaints, pesticides, limited storage, flammables, policy changes, listing closures, etc. We take no responsibility for any Amazon or brand issues. We are not responsible nor can manage price fluctuations within Amazon’s or any other marketplaces. Any MAP pricing restrictions will be notified to the buyers prior to payment.

Empire Distribution USA will not offer any supportive documents besides invoices for any issues on 3rd party marketplaces including Amazon. After confirmation, all sales will be deemed final without any resolution. We will not be able to cancel any order for this reason after receiving a purchase order or payment. Once Empire Distribution has a mutual agreement with a buyer that an order is considered finalized, whether in writing or by oral agreement, it CAN NOT be canceled & the order is non-refundable.

 

You are acknowledging that you do in fact have a resale certificate and that you are tax exempt on your purchase. We take no responsibility in any dealings with the IRS or other government agencies concerning taxes, both federal and state, gross receipts, sales and privilege taxes, duties and import or export fees, or similar liabilities on your purchase.
